Shareholder agreements

Independent legal advice

Before you sign a shareholder agreement, personal guarantee or other business document, a lawyer reviews it with you, separately from the other parties, and explains your rights and obligations.

Partnership agreements

For businesses run as partnerships: how profits are shared, how decisions are made, and how a partner can leave.

Dissolving a corporation

Formally winding up a corporation that is no longer needed, including the required resolutions and filings.

Before you incorporate

It helps to have the following ready for our first meeting:

  • Your proposed corporate name, or whether a numbered company will do
  • The names and addresses of the directors and shareholders
  • How ownership will be divided between the shareholders
  • The address of the registered office

Talk to your accountant too

Tax affects the structure

How a corporation is set up, including its share classes and who holds them, has tax consequences. We recommend speaking with your accountant before incorporating, and we are happy to work with them.
